1. Acceptance of terms
By creating an account or using the Prequire platform, you agree to be bound by these Terms of Service (“Terms”) and our Privacy Policy. If you are using Prequire on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
If you do not agree to these Terms, do not use the service.
2. The service
Prequire is an Answer Engine Optimization (AEO) / Generative Engine Optimization (GEO) SaaS platform operated by M-Powered Marketing Solutions LLC, a California limited liability company. The platform includes tools for AI citation monitoring, AEO auditing, llms.txt generation, structured data generation, content planning and publishing, and related capabilities.
We reserve the right to modify, suspend, or discontinue features of the service at any time. We will provide reasonable notice for material changes that affect existing functionality included in a paid plan.
3. Accounts
You are responsible for maintaining the security of your account credentials, including your password and any API keys you store in the platform. One account is permitted per user unless we have authorized otherwise in writing.
You must provide accurate account information and keep it current. We may suspend accounts where information is found to be materially inaccurate.
4. Subscription plans and pricing
Prequire is offered on three plans, all of which include access to every module:
- Monthly — $97/month, billed monthly, cancel anytime.
- Annual — $797/year (approximately $66/month), includes a 7-day trial with a $1 setup fee. If you cancel during the trial period, you will not be charged the annual fee.
- Lifetime — $1,497 one-time payment, forever access for the original purchaser, limited founding cohort of 100 seats.
All prices are in USD. We reserve the right to change pricing with reasonable advance notice. Existing subscribers will not have their rates increased during a paid billing period.
5. The lifetime plan
“Lifetime” means the operational lifetime of the Prequire service under M-Powered Marketing Solutions LLC. The lifetime plan includes all features currently in the platform and all future modules added during the service’s operation.
If the Prequire service is materially changed, sold to a third party, or discontinued, we will provide reasonable advance notice — not less than 90 days where feasible — and, where possible, offer a migration path or alternative arrangement for lifetime plan holders.
The lifetime plan is personal and non-transferable without our written consent. It is tied to the original purchaser’s account.
6. BYOK and third-party services
Prequire uses a bring-your-own-key model for AI model access. You are responsible for your own API keys, including the costs they incur, the rate limits imposed by the provider, and your compliance with each provider’s terms of service (including OpenAI, Anthropic, and Perplexity).
Prequire is not liable for third-party API outages, cost overruns on your API accounts, changes in provider pricing or terms, or any model outputs. We are a conduit for calls made using your keys; the underlying model providers govern the content and quality of responses.
7. Payment, renewal, and cancellation
Monthly and annual plans auto-renew at the end of each billing period unless you cancel before the renewal date. You can cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current paid period; you retain access until then.
The Lifetime plan is a one-time payment with no renewal. Payment is processed at checkout through our payment processor (FastPayDirect / Stripe).
If a payment fails, we will attempt to notify you by email. Accounts with failed payments may be suspended after a reasonable grace period.
8. Refund policy
Monthly plan. Refunds are available within the first 7 days of a new subscription. After that, no refunds are issued for the current billing period, though you can cancel to prevent future charges.
Annual plan. The annual plan includes a 7-day trial with a $1 setup fee. If you cancel during the trial, no annual fee is charged and the $1 setup fee is non-refundable. After the trial period ends and the annual fee is charged, no refunds are available.
Lifetime plan. Lifetime purchases are eligible for a full refund within 14 days of purchase. After 14 days, lifetime access is non-refundable.
To request a refund, email [email protected] from your account email address. Refunds are processed within 5–10 business days.
9. Acceptable use
You agree not to use Prequire to:
- Scan or audit websites you do not own or have explicit authorization to scan.
- Generate spam, malicious content, or content designed to deceive users or manipulate AI systems in ways that violate applicable law or a provider’s terms.
- Circumvent access controls, reverse-engineer, decompile, or disassemble the platform.
- Resell, white-label, or sublicense the service or its outputs without our written permission.
- Use the service in any way that violates applicable local, state, national, or international law or regulation.
We reserve the right to suspend or terminate accounts that violate these use restrictions without refund.
10. Intellectual property
M-Powered Marketing Solutions LLC owns the Prequire platform, its underlying technology, and all associated intellectual property. Nothing in these Terms transfers ownership of the platform to you.
You own your content: the websites you scan, any copy or data you input, and any output generated using your API keys. You grant us a limited, non-exclusive license to process your content as necessary to provide the service — for example, to run your audit, generate your llms.txt, or display your Citation Monitor results in your dashboard. This license does not include the right to use your content for training AI models or any purpose beyond operating the service.
11. Warranties and disclaimers
The Prequire service is provided “as is” and “as available” without warranty of any kind, express or implied. We do not warrant that the service will be uninterrupted, error-free, or free of security vulnerabilities.
We do not warrant specific outcomes from using the platform. In particular, we do not guarantee that using Prequire will result in your brand being cited by any specific AI engine. Citation decisions are made by third-party AI systems outside our control. Prequire improves the signals those systems use to make citation decisions, but outcomes cannot be guaranteed.
12. Limitation of liability
To the maximum extent permitted by applicable law, our total liability to you for any claim arising from your use of Prequire is limited to the fees you have paid in the twelve months immediately preceding the claim.
We are not liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, loss of data, or loss of goodwill, even if we have been advised of the possibility of such damages.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you in full.
13. Indemnification
You agree to indemnify and hold harmless M-Powered Marketing Solutions LLC, its officers, employees, and agents from any claim, demand, loss, liability, or expense (including reasonable attorneys’ fees) arising from your use of the service, your content, or your violation of these Terms or applicable law.
14. Termination
Either party may terminate the relationship at any time. You may cancel your account through your account settings or by emailing [email protected]. We may suspend or terminate your account for violation of these Terms, with or without prior notice depending on the severity of the violation.
Upon termination, you may export your data (audit results, llms.txt files, and other account content) for a reasonable period of 30 days following termination. After that period, account data will be deleted subject to any legal retention obligations.
15. Governing law and venue
These Terms are governed by the laws of the State of California, without regard to its conflict-of-law principles. Any dispute arising out of or relating to these Terms or your use of Prequire shall be resolved exclusively in the state or federal courts located in San Francisco County, California, and you consent to the personal jurisdiction of those courts.
16. Changes to terms
We may update these Terms from time to time. Material changes will be communicated via email to registered users and via a prominent in-product notice. The updated Terms will carry a new effective date at the top of this page. Continued use of Prequire after the effective date of updated Terms constitutes your acceptance of the changes.
